BIOGRAPHY

Dan Loeffler focuses his practice on complex commercial litigation. He has significant experience in antitrust litigation, class actions, derivative and direct corporate disputes, appellate matters, and certain white-collar criminal defense issues. He also counsels businesses and healthcare providers on antitrust compliance.

Dan graduated from Wheaton College and The University of Michigan Law School. While in law school, he served as a clerk for the late Oklahoma Supreme Court Justice Marian P. Opala.

After law school, Dan clerked for the Honorable Roger L. Gregory on the U.S. Court of Appeals for the Fourth Circuit. He subsequently practiced in Washington, D.C. with the law firm of Kellogg, Huber, Hansen, Todd, Evans & Figel. In 2008, he returned home to Oklahoma to serve as vice president and general counsel of a privately held company in Oklahoma City. He joined McAfee & Taft in January 2010.

Dan's achievements have earned him inclusion in Oklahoma Super Lawyers' list of "Oklahoma Rising Stars," which recognizes the state’s top up-and-coming attorneys.


REPRESENTATIVE EXPERIENCE

Antitrust Litigation and Counseling:

  • Represented statewide classes of consumers in multiple antitrust actions against large tobacco manufacturer, resulting in settlements valued at $96 million, $83 million and $10 million.
  • Defending electric cooperative in state and federal lawsuits brought by distribution cooperative members. Cases allege that rate for wholesale electric power violates state and federal antitrust laws.
  • Ongoing advice to healthcare clients on antitrust issues, including matters involving federal antitrust authorities.

Corporate and Derivative Litigation:

  • Defended majority owners of company in derivative litigation brought by shareholder. Plaintiff alleged minority shareholder oppression and sought over $10 million in damages and dissolution of the business. Matter settled shortly before trial.
  • Represented plaintiff seeking to enforce multi-million dollar judgment against owners of an LLC by piercing the corporate veil. Obtained confidential settlement after defeating motion for summary judgment.
  • Represented large oil and gas industry partnership in lawsuits and arbitration arising out of acquisition of oilfield services company.
  • Defended general partner in oil and gas production partnership in lawsuit brought by limited partners alleging breaches of fiduciary duty and derivative claims.

Other Commercial Litigation and Investigations:

  • Defended employer in "mass action" brought by 124 former employees alleging various theories of fraud, conversion and negligence.
  • Represented wireless telecommunications company in high-profile advertising-related case against NASCAR and helped obtain preliminary injunction and favorable settlement.
  • Represented telecommunications company in suits against pseudonymous data brokers for unlawful “pretexting” in violation of the Computer Fraud and Abuse Act.
  • Represented Fortune 500 company in internal investigation and associated defense of parallel SEC/DOJ investigations under the Foreign Corrupt Practices Act.
