Biography

Phil Sears is a veteran attorney with over 30 years of experience in all aspects of corporate law.  He concentrates his practice in the areas of contracts, securities and transactional law.

Phil’s practice encompasses a broad range of business transactions and general representation of public and private business entities, including negotiating and drafting contracts, partnership agreements, operating agreements, joint venture agreements, licensing agreements, leases, employment agreements, merger and acquisition agreements, public and private securities offerings and compliance documents, legal opinions, organizational documents, corporate governance charters and policies, and stock exchange listing applications.

Phil counsels public companies in corporate governance matters under the provisions of Sarbanes-Oxley, SEC regulations and stock exchange listing standards.

Phil’s diversified client base extends throughout the United States and includes both public and private businesses and organizations, including those engaged in manufacturing, retailing, banking, and venture capital investing.

Phil served as an officer in the United States Army from 1970 – 1972.

Representative Experience

  • Represented and represents NASDAQ and NYSE listed public companies in Securities Act of 1933 and Securities Exchange Act of 1934 matters.
  • Represented Oklahoma Farmers Union Sustainable Energy LLC and Oklahoma Sustainable Energy LLC in all aspects of an offering of limited liability company units to residents of the State of Oklahoma that raised in excess of $8,000,000 for the purpose of constructing a state-of-the-art dry mill ethanol plant.
  • Represented and represents public and private companies in registered and private placement securities offerings.
  • Represented and represents public companies by providing ongoing advice with respect to federal and state securities laws, rules and regulations, disclosure, reporting compliance and corporate governance issues under Sarbanes-Oxley and stock exchange listing standards.
  • Represented and represents public and private business entities in negotiating and drafting contracts, partnership agreements, operating agreements, joint venture agreements, licensing agreements, leases, employment agreements, merger and acquisition agreements, public and private securities offerings and compliance documents, legal opinions, organizational documents, corporate governance charters and policies, and stock exchange listing applications.
  • Represented and represents public and private companies in the acquisition for cash, stock or other securities of the stock or assets of other public and private companies.
  • Represented Oklahoma Ethanol LLC in several legal matters related to the construction of a $90 million state-of-the-art, dry mill ethanol plant including the drafting and negotiation of contracts and other agreements with design builders, the Archer-Daniels-Midland Company and The Enid Economic Development Authority.
