McAfee & Taft, Oklahoma’s largest law firm, has named corporate attorneys Cheryl Vinall Denney and Philip B. Sears shareholders.
Cheryl Vinall Denney represents and counsels public and private companies in all phases of their business existence, including the formation and structuring of new companies, negotiation of business contracts, asset acquisitions, tax incentives, private equity investments, mergers and acquisitions and other forms of business combinations and reorganizations, divestitures and dissolutions.
Prior to joining McAfee & Taft in 2003, Denney was a corporate associate in the New York office of Paul, Weiss, Rifkind, Wharton and Garrison, an international law firm that concentrates in corporate law and litigation. The Oklahoma native is a graduate of Oklahoma Baptist University and the Georgetown University Law Center.
Phil Sears is a veteran corporate attorney whose practice encompasses a broad range of business transactions and general representation of public and private business entities, including negotiating and drafting contracts, partnership agreements, operating agreements, joint venture agreements, licensing agreements, leases, employment agreements, merger and acquisition agreements, public and private securities offerings and compliance documents, legal opinions, organizational documents, corporate governance charters and policies, and stock exchange listing applications. His diversified client base extends throughout the United States and includes both public and private businesses and organizations, including those engaged in manufacturing, retailing, Internet education, banking, and venture capital investing.
Sears joined McAfee & Taft in 2006 and is a graduate of Penn State University and Oklahoma City University School of Law.
