Overview

Blaine Brewer is a transactional lawyer whose practice encompasses a broad range of corporate and business matters, including real estate transactions, business and transaction financing, mergers and acquisitions, business entity formation, contract negotiations, and business taxation.

As part of his real estate practice, Blaine represents clients in the buying, selling, leasing, lease-back, developing, and financing of improved and unimproved real property, including negotiation and documentation of purchase and sale agreements, title and survey diligence, regulatory compliance, and land use issues. He also represents landlords and tenants in all aspects of commercial leasing transactions, including ground leases, single-occupant leases, and multi-tenant office, retail or shopping center, and industrial leases.

Blaine’s commercial finance practice includes serving as counsel to lenders and borrowers in all types of commercial finance transactions, including single-lender and syndicated credit facilities, first and second lien credit agreements, asset-based loans, and unsecured financings.

Blaine’s achievements have earned him inclusion in Best Lawyers: Ones to Watch in America (corporate law; mergers and acquisitions law; real estate law) and in Oklahoma Super Lawyers’ list of “Oklahoma Rising Stars,” which recognizes the state’s up-and-coming attorneys.

Representative Experience

  • Represented a national chain of truck stops and convenience stores in real estate aspects of its acquisition of a chain of 11 travel stops located in Oklahoma and Kansas turnpikes and 11 convenience stores in Oklahoma and Nebraska.
  • Represented a national manufacturing business in the strategic purchase of properties located in Oklahoma City, Oklahoma. This representation included real estate matters, such as drafting the transaction documents, and the management of environmental remediation and demolition of over 100,000 square feet of structures.
  • Represented a national chain of truck stops and convenience stores in aspects of its syndicated borrowing transaction with a national lender for a loan of approximately $1 billion.
  • Represented a Texas-based publicly traded financial services holding company in aspects of the amendment and restatement of its $1 billion unsecured syndicated revolving credit facility.
  • Represented a joint venture in the oil and gas industry in aspects of its $500 million syndicated credit facility.
  • Represented a Texas-based publicly traded financial services holding company in aspects of the amendment and restatement of its $300 million syndicated term loan credit facility.
  • Represented a Kansas-based lender in numerous loan transactions spread throughout Kansas, Oklahoma, Missouri, New Mexico, Texas, and Florida varying in size from $1 million to $25 million.
  • Represented a large regional hospital in aspects of its acquisition of the assets and operations of an Oklahoma hospital and multiple provider-based and free-standing health clinics from a national healthcare company.
  • Represented a tribal entity in its acquisition of an Oklahoma construction company specializing in a broad range of facility and infrastructure constructions projects for clientele including government agencies and Fortune 500 companies.
  • Represented an Oklahoma healthcare company in all aspects of its acquisition of an Oklahoma durable medical equipment company.
  • Represented a large regional hospital in aspects of its joint venture with a nationally recognized orthopedic and sports medicine hospital.
