Overview

Eric Odom is a commercial transactional attorney whose practice primarily focuses on real estate, banking, and business transactions. His real estate practice ranges across all forms of properties and stages of development, including retail, multi-family, industrial, mixed-use, ground-up development, financing, construction, leasing, acquisitions and divestitures. In his banking practice he represents both borrowers and lenders, providing guidance in connection with a wide array of lending transactions ranging from traditional community bank lending to complex commercial mortgage-backed security lending. The remainder of his business practice includes business acquisitions and divestitures, entity governance, private placements, and general business counsel.

Representative Experience

  • Represented a real estate development company in the acquisition and redevelopment of a multi-tenant retail shopping center in inner Oklahoma City, Oklahoma, including negotiating on behalf of the company with several national retail tenants and purchasers.
  • Represented a real estate development company in connection with the purchase of various tracts of raw land and the development of certain high-end residential and other mixed-use developments in Edmond, Oklahoma, including representation of the development company with respect to the governing documents of the various ventures and related securities laws.
  • Represented a real estate development company in the acquisition and divesture of multiple “value add” shopping centers across the country, including negotiation of purchase agreements, title review, zoning review, and financing.
  • Represented a real estate development company in the development and divestiture of several boutique student housing developments in Norman, Oklahoma, including certain joint ventures with third-party landowners.
  • Represented a real estate development company in the acquisition and development of certain mini-storage facilities, including negotiating with a national storage company for the management of certain properties.
  • Represented a company in a complex tax-free merger transaction resulting in a current multi-million-dollar tax savings.
  • Represented multiple lenders in connection with the financing of residential, retail, and industrial developments.
  • Represented multiple clients with respect to local counsel issues involving real property, including local zoning, title, and financing issues.
  • Representation of multiple real estate investors in connection with the investment and strategy relating to federal opportunity zones.
  • Representation of both qualified intermediaries and investors involved with Internal Revenue Code Section 1031 exchanges, including forward, reverse, and build-to-suit exchanges.
  • Representation of borrowers in connection with commercial mortgage-backed security financing, including negotiating loan documents, providing opinions of counsel with respect to local law, and completing defeasances of such loans.
  • Representation of sellers and buyers in commercial real estate transactions, including transactions involving tenant-in-common arrangements.
  • Representation of landlords and tenants in commercial leasing transactions, including ground leases.
  • Representation of multiple clients with respect to the acquisition and financing of agricultural land.
  • Representation of lenders and borrowers in commercial financing transactions, including acquisition and construction financing.
  • Representation of individuals and businesses in organizing and structuring business entities (including corporations, partnerships, and limited liability companies) and joint ventures.
