Evan Crumpley is a corporate attorney whose practice encompasses a broad range of business, transactional, securities, and regulatory and corporate compliance matters.

Much of Evan’s practice is focused on the representation and counseling of companies and individuals in a wide array of corporate and securities matters.  He has assisted clients with public and private offerings of equity and debt securities, secured and unsecured debt financings, private equity and venture capital formation and investments, mergers and acquisitions, and securities and other regulatory matters.  He also assists publicly held clients with public reporting and disclosure, regulatory compliance (including Sarbanes-Oxley, Dodd-Frank, Hart-Scott-Rodino, and securities exchange compliance), and corporate governance and policies.

As a member of the firm’s Banking & Financial Institutions Group, Evan routinely counsels public and private banks, bank holding companies, and other financial institutions in public and private equity and debt offerings; acquisitions and sales; corporate governance; governmental programs (including the Emergency Capital Investment Program) and regulatory compliance.  His experience includes negotiating and drafting merger, stock purchase, stock exchange, and asset purchase agreements; and drafting lending documents (including loan agreements, secured and unsecured promissory notes, security agreements, and guaranty agreements).

Evan’s experience also includes advising registered investment advisers, exempt reporting advisers, broker-dealers, investment companies, venture capital funds, private equity funds, and their service providers on regulatory and compliance matters under federal and state securities laws.

A portion of Evan’s practice is devoted to assisting nonprofit organizations, including public charities, private foundations, and other tax-exempt organizations, in a range of legal matters, including mergers and acquisitions, compliance, board governance, board and management responsibilities, fundraising and donor solicitations, and political advocacy.

The Oklahoma native graduated with honors with his bachelor’s degree in sports management with a minor in accounting from the University of Oklahoma in 2017 and with honors from the University of Oklahoma College of Law in 2020. While in law school, he served as the scoring director of the Board of Advocates and as an assistant articles editor of the Oklahoma Law Review. He also worked as a legal extern with the University of Oklahoma’s Sooner Club, where he performed risk analysis for the University’s Athletic Department.
