Overview

Jeremy Black’s practice is focused on advising clients on a variety of corporate, transactional and commercial matters including mergers, acquisitions & divestitures, joint ventures, and financing transactions, with an emphasis on upstream and midstream oil and gas transactions and related matters.

Jeremy also has significant experience and expertise advising clients on federal, state and local tax planning for public and private corporations, limited liability companies, partnerships and individuals, tax structuring of complex business transactions, and providing general business advisory services to clients across various industries.

Jeremy’s extensive representative experience also includes advising clients on negotiating and drafting purchase and sale agreements, public and private securities offerings, numerous joint venture structures, complex financing arrangements, and providing advice and general representation to his clients including ownership, management, and governing bodies.

Jeremy’s achievements have earned him inclusion in The Best Lawyers in America (business organizations; corporate law, mergers and acquisitions law; tax law).

Representative Experience

  • Represented an oilfield services subsidiary of a large publicly traded independent oil and gas company in the sale of its crude hauling business and related assets located in multiple states, including tractors, trailers and ancillary assets, and related real estate used in the business.
  • Represented Seventy Seven Energy Inc. in its $42.0 million divesture of Hodges Trucking Company LLC, its oilfield hauling services and equipment rental subsidiary.
  • Represented an Oklahoma-based private independent oil and gas company in its divestiture of several saltwater disposal wells and related gathering assets, and related oilfield transportation business.
  • Represented an Oklahoma-based private independent oil and gas company in its ~$800 million acquisition of certain upstream and associated midstream assets from a large publicly traded independent oil and gas company.
  • Represented Mach Resources LLC in its acquisition of certain Mississippi Lime assets from Chesapeake Energy Company.
  • Represented an Oklahoma-based private independent oil and gas company in its divestiture of a large saltwater gathering and disposal system and other related assets.
  • Represented an Oklahoma-based private independent oil and gas company in its $121.0 million divestiture of certain upstream and midstream assets located in the Texas panhandle.
  • Represented the general and limited partners of H. Huffman & Co., LP and The Buffalo Company, LP in sale to Dorchester Minerals, L.P.
  • Represented Tapstone Energy, LLC in its $130.5 million acquisition of certain Midcontinent assets from Chesapeake Energy Corporation.
  • Represented the owners of an Oklahoma-based private oilfield chemical supply company in their strategic sale to a large privately held biotechnology company.
  • Represented lender on a series of related loan transactions as part of the USDA Business and Industry loan program secured by certain saltwater gathering and disposal systems and other related assets.
  • Represented various management teams in securing significant capital commitments from private funds to acquire and develop oil and natural gas assets.
  • Represented Baker Hughes Energy Services, LLC in certain income tax aspects of the donation of the state-of-the-art Baker Hughes Energy Innovation Center property, located in Oklahoma City’s Innovation District, to Oklahoma State University.
  • Counsel to multiple clients related to stock sales and purchases, partnership sales and purchases, assets sales and purchases, and reorganizations.
  • Counsel to multiple clients related to the formation of complex joint ventures, including oil and gas cash and carry transactions, farmout arrangements, and private equity deals.
