Micah Mahdi is a transactional attorney whose practice lives at the intersection of strategic corporate transactions and complex tax considerations. She advises principals, business owners, private equity firms, and investors on acquisitions, dispositions, financings, and reorganizations, structuring each deal to achieve both immediate ownership-transition goals and long-term corporate objectives. She has experience with commercial real estate acquisitions, development, and leasing for both for-profit and non-profit organizations, as well as acquisitions and spin-offs for private equity firms and Fortune 500 public companies.
As corporate counsel, she provides guidance on entity formation and structuring, governance, and the contracts that keep a business running. Micah advises closely held businesses and high-net-worth individuals on succession planning and trusts-and-estates matters, mindful that for many clients, wealth is not just a number on a balance sheet but the story of their life’s work and should be passed on intentionally across generations.
Micah graduated from the University of North Texas with a business degree in economics. She earned her law degree, with honors, from the University of Oklahoma College of Law, where she was a member of the Oklahoma Law Review and the Order of the Coif, and went on to earn her LL.M. in Taxation from Temple University Beasley School of Law. She currently serves on the board of directors for the Tony Award-winning Wilma Theater in Philadelphia and on the Young Alumni Board for the University of Oklahoma College of Law.
Micah’s career experience includes working as an attorney in the Washington, DC, office of an AmLaw 100 firm and the Philadelphia, PA, office of mid-sized regional law firm. While working in Philadelphia, she was selected for inclusion in the 2026 edition of Pennsylvania Super Lawyers’ list of “Rising Stars,” which recognizes the state’s up-and-coming attorneys.
