In his presentation at McAfee & Taft’s 2016 Corporate Counsel Seminar titled “Boilerplate: Beware of the end,” corporate attorney Michael Nordin dispels the myth that contract boilerplate language should ever be viewed or accepted as routine, standard or flawless and discusses why lawyers should always pay close attention to – and be ready to negotiate or rewrite– the fine print. He also examines specific types of boilerplate provisions and language – such as those pertaining to choice of law, agreement construction, and the awarding of attorneys’ fees and cost to prevailing parties – and offers practical insights for drafting clear, concise language that is both meaningful and understandable.
