Issues that arise in these transactions include all the issues that are routinely attendant to the acquisition and sale of a business enterprise, such as counsel and negotiation regarding terms and conditions of the transaction, due diligence review of liabilities and other legal obligations, transaction structure, assurance of title to the assets, real estate surveys, and environmental issues. However, such transactions also include issues unique to agricultural business, such as availability of water rights, handling of farm equipment (including irrigation facilities), and growing crops.
