Secured Transactions
Lawyers in our Business Transactions and Finance Group have extensive experience representing borrowers, banks, private equity funds and other institutional lenders in all manners of commercial finance transactions. We work with our clients in all aspects of the financing process, from identifying and structuring potential transactions, to drafting and negotiating terms sheets and definitive deal documents, and managing the debtor-creditor relationship during the life of the financing. Our lawyers also counsel lenders and distressed debtors in reaching a successful resolution of troubled loans through refinancing, workouts, restructurings and, when necessary, bankruptcy.
We have counseled borrowers and lenders in a range of transaction types, including single-lender, participated and syndicated financings, second lien and mezzanine financing, asset-based loans, real estate financing, tax credit financing, factoring, and asset securitization. We routinely assist clients in successfully closing merger and acquisition financings and hybrid debt-equity financings. We draw on our wide array of clients and transaction types to find solutions to the most difficult problems in secured finance transactions, assuring that our client’s interests are protected and that the deal gets done.
Our practice includes representation of all parties in connection with subordination agreements, intercreditor agreements, and the creation and perfection of security interests in all types of collateral under the Uniform Commercial Code (UCC) and other state and federal laws governing liens and security interests in intellectual property and non-UCC collateral. Our aircraft finance group also has extensive experience in secured transactions in aviation matters.
